Contracts & Commercial Transactions
Practical agreement and transaction counsel shaped by the client's objectives and commercial context.
Contracts overview
A useful contract should identify the parties’ obligations, allocate relevant risks, and provide a workable framework for performance and change.
FHLA assists with selected contract review, drafting, revision, and negotiation.
Contract review
FHLA reviews agreements in light of the client’s objectives, the transaction context, and the issues presented by the text. A review may address scope, payment, performance standards, term and termination, confidentiality, indemnity, limitations of liability, dispute provisions, and other relevant terms.
Custom agreements
When a standard form does not fit the transaction, FHLA can assist in preparing an agreement tailored to the parties, the contemplated work, and the principal legal and commercial terms identified during the engagement.
Commercial relationships
FHLA assists with selected agreements involving customers, vendors, consultants, independent contractors, strategic collaborators, and other commercial counterparties. The firm’s role may include issue spotting, drafting, negotiation support, and documenting revisions.
Transaction support
Selected transactions require coordinated review of agreements, business records, financial obligations, approvals, and closing conditions. FHLA helps clients organize the legal workstream, identify open items, and prepare documents within the agreed scope.
Due diligence and document review
Legal diligence can help clarify what is known, what remains unverified, and which consents or records may be needed before a transaction proceeds. FHLA assists with selected document review and issue identification; accounting, valuation, tax, and regulatory advice may require other professionals.
Finance and lender considerations
A business transaction may be affected by loan covenants, guaranties, liens, or consent requirements. FHLA can review selected financing-related documents as part of a broader business matter and help the client identify issues requiring lender or specialized counsel involvement.
